Constitution
and Bylaws
Article
I
Name
The name of this organization shall be the Blackstone Valley Gardeners
Article II
Object
The object of this club shall be the advancement of horticulture,
development of home gardens, civic beautification and conservation
of our natural environment.
Article III
Officers
The officers of this club shall be a President, Vice President,
Recording Secretary, Corresponding Secretary and Treasurer. The
officers shall be elected in odd years for a two year term.
Article IV
Directors
The Directors shall be the Chairs of the standing committees and
on Director at large. The Directors shall be appointed by a quorum
of the officers of the club at the annual meeting in odd years for
a term of two years.
Article V
Membership
The membership of this club shall not be limited. Additional family
members from the same address may join this club for one-half of
the individual membership fee.
Article VI
Dues
The dues shall be $20 annually. The dues of this club shall not
be changed except by vote of the majority of the membership present.
Dues are to be paid by the Annual Meeting of each year.
Article VII
Meetings
Section I. Regular Meetings. Regular meeting of this club
shall be held monthly from September to June. Some of the meetings
shall be designated as "open", to which the public may
attend for a fee established by the Executive Board.
Section II. Annual Meeting. The Annual Meeting shall be on
the date of the regular meeting held in April of each year. The
order of the meeting shall be the regular monthly meeting followed
by the business of the annual meeting.
Article VIII
Duties of Officers
Section I. A president shall preside at all meetings of the
club and the Executive Board and
shall be an ex-officio member of all committees except the Nominating
committee.
Section II. A Vice President shall assume all duties of the
President in his/her absence.
Section III. A Treasurer shall collect dues, receive monies
due the club, pay expenses,
preserve receipts, and keep records of all transactions. The Treasurer
shall report on the
financial condition of the club at each meeting. Expenditures of
more than $500 (five
hundred dollars) shall be authorized by a vote of the general membership
of the club.
Section IV. All officers and chairmen of standing committees
shall present written reports
to the Recording Secretary at the Annual Meeting.
Section V. The President and Vice President shall appoint
a nominating committee of
three members at the January meeting in odd numbered years. The
nominating committee
shall present a slate of officers at the subsequent annual meeting.
Article IX
Executive Board
Section I. Personnel. The Executive Board shall consist of
the officers of the club and
the Directors. This Executive Board shall have full power to act
for the club in case of
emergency.
Section II. Meetings. The Executive Board shall hold meetings
prior to the regular club
meetings.
Section III. Vacancies. Vacancies occurring in any office
except the President shall be
filled by the Executive Board. In the event of a vacancy in the
presidency, the Vice
President becomes the President for the remainder of the term.
Article X
Standing Committees
Section I. Standing Committees. Standing Committees shall
include the following: Civic
Beautification, Hospitality, Membership, Publicity/Newsletter and
Program.
Section II. Special Committees. Special committees shall include
such additional
committees as the officers shall deem necessary for the current
activities of the club.
The Chairs of such committees shall be appointed by the President
with the approval
of the officers.
Section III. Duties of Chairpersons. Chairs of standing committees
and special committees
shall hold meetings of their committees when appropriate.
Article XI
Quorum
Section I. A quorum of this club shall be a simple majority
plus one of the members.
Section II. A quorum of the Executive Board shall be one-third
of its members.
Section III. The presence of a quorum shall be required to
transact any club business.
Article XII
Amendments
The Constitution and Bylaws may be amended at any regular meeting
by a two-thirds vote
of the members present and voting, provided each member receives
a written notice of
intention to amend at least two weeks prior to such meeting.
